Free zone qualifying income — three traps in the FTA’s latest decision.
The Federal Tax Authority’s most recent decision on free-zone qualifying income is being read three different ways by tax teams in the UAE. We unpack the three traps we keep seeing in client positions — and what the consequence is at filing.
1. Substance is read transactionally, not entity-wide.
The decision treats the substance test as a per-transaction question, not a once-a-year statement. A free-zone entity with qualifying activity in one revenue stream and disqualifying activity in another may find both streams tainted if the apportionment trail is not maintained at source.
This is the most common position error we have re-papered: clients book the substance assessment as an annual exercise and lose the per-transaction tagging that the FTA actually relies on.

2. The election is irrevocable in practice.
Although the regime presents the election as an annual choice, the operational consequence — once intercompany pricing, profit-allocation memos and counterparty contracts have been reset — makes a reversal commercially expensive. Boards should treat the first election as binding for the period of the current commercial structure, not the period of the current return.
3. “Excluded” activities have a halo.
The list of excluded activities reaches further than its plain-text reading. Activities that share a contract, a counterparty or an underlying asset with an excluded activity have, in our experience with the FTA, been treated as carrying the same disqualification.
- Tag every revenue line at source with a qualifying / disqualifying flag.
- Reconfirm the election in writing each year, even when it is unchanged.
- Map every excluded-activity-adjacent contract before signing.
